1. Acceptance and scope
These Terms of Service apply when you access or use a LumiTalk website, demonstration, form, scheduling experience, or service that links to them. By using those resources, you agree to these Terms. If you do not agree, do not use them.
Paid or configured services may be governed by an Order Form, service agreement, Data Processing Addendum, Business Associate Agreement, service-level terms, or other signed document. If a signed agreement conflicts with these website Terms, the signed agreement controls for that customer relationship.
2. Eligibility and authority
You must be legally capable of entering an agreement and at least 18 years old to create a business relationship with LumiTalk. If you use LumiTalk for an organization, you represent that you are authorized to act for it and to provide the information, instructions, permissions, and systems access involved.
3. Website and demonstrations
Website examples, simulations, worked scenarios, feature descriptions, integration pages, and demonstrations explain possible workflows. They are not a promise that every feature, integration, language, outcome, or configuration is available in every plan or environment. Actual scope, dependencies, acceptance criteria, and commitments must be stated in an applicable Order Form.
Demonstration content may use fictional, composite, staged, or masked information. Do not submit confidential, regulated, privileged, or production information into a public demonstration unless LumiTalk has expressly authorized that use in writing.
4. Accounts and access
If an account is provided, you are responsible for accurate registration information, authorized users, credential security, permissions, and activity under your account. Do not share credentials between people or give access to an unauthorized person. Notify LumiTalk promptly through the contact page if you suspect unauthorized access or a security incident involving your account.
5. Acceptable use
You may not use LumiTalk to:
- violate law, regulation, court order, contractual duty, or another person’s rights;
- misrepresent who is speaking, conceal required AI or recording disclosures, or impersonate a person without authorization;
- send unlawful, deceptive, harassing, or non-consensual calls, emails, messages, or marketing;
- make prohibited or unsupported medical, legal, credit, employment, housing, insurance, eligibility, or other consequential decisions;
- collect, expose, or use information beyond the permission and minimum scope needed for the approved workflow;
- probe, bypass, disable, or interfere with security, rate limits, access controls, or service integrity;
- introduce malicious code, scrape protected areas, overload infrastructure, or disrupt another user;
- reverse engineer or copy protected portions of the service except where law expressly permits it; or
- use outputs or access to develop a competing model or service in violation of an applicable agreement.
6. Communications, consent, and recording
When you request a demo or contact, you may consent to receive related email, calls, and SMS from LumiTalk. Message and data rates may apply. Reply STOP to opt out of SMS and ask us to stop non-essential email. Operational notices may continue where permitted.
Customers control their own communications programs. They are responsible for lawful consent, sender identification, recording disclosures, quiet hours, suppression lists, opt-outs, content approval, and recordkeeping. LumiTalk’s technical controls do not constitute legal advice or transfer those responsibilities to LumiTalk.
7. Your materials and instructions
You retain your rights in information, content, scripts, knowledge sources, branding, credentials, and instructions you provide. You grant LumiTalk the limited rights needed to host, process, transmit, reproduce, and display those materials to provide, secure, support, and maintain the requested service.
You represent that you have the rights, notices, permissions, and lawful basis needed for LumiTalk to follow your instructions. You are responsible for the accuracy of approved policies, business rules, pricing, schedules, disclosures, and connected-system data.
8. AI-assisted services
AI-generated or AI-assisted responses can be incomplete, inaccurate, delayed, or inappropriate for a particular situation. You must test representative scenarios, failure paths, permissions, escalation rules, and connected-system actions before production use. Maintain qualified human review and a working handoff for uncertainty, material customer impact, professional judgment, safety, and regulated matters.
Do not treat an AI output as the sole basis for a consequential decision or as a substitute for a licensed professional. LumiTalk does not guarantee that an automated response will be error-free or suitable for every customer, language, accent, channel, integration, or use case.
9. Regulated and emergency uses
Unless expressly covered by a signed agreement and an approved configuration, LumiTalk is not an emergency service, medical provider, law firm, financial institution, credit decision system, public-safety answering point, or substitute for licensed judgment. Customers must not configure the service to diagnose, prescribe, provide legal advice, approve credit, determine eligibility, or make another restricted decision.
Any claim involving HIPAA, a Business Associate Agreement, financial regulation, professional licensing, accessibility, recording law, or industry certification applies only to the written scope and environment that LumiTalk has specifically approved.
10. Third-party services and integrations
Integrations, calendars, meeting services, telecommunications providers, models, CRMs, help desks, commerce systems, and other third-party services are governed by their own terms and availability. You authorize LumiTalk to exchange information with the third-party services you select. LumiTalk is not responsible for a third party’s independent acts, security, terms, content, outage, or product change.
11. Ownership, trademarks, and feedback
LumiTalk and its licensors retain all rights in the website, service, software, models, workflows, documentation, visual design, trademarks, and improvements, excluding your materials and third-party property. No license is granted except the limited right to use the service as permitted by these Terms and an applicable agreement.
If you provide feedback, you allow LumiTalk to use it without restriction or payment, provided LumiTalk does not identify you publicly or disclose your confidential information without permission.
12. Paid services
Fees, usage allowances, taxes, payment dates, renewal, price changes, implementation, support, service levels, and cancellation for paid services are stated in the applicable Order Form or signed agreement. The public website does not create a price commitment or authorize a charge by itself.
13. Suspension and termination
LumiTalk may restrict or suspend access when reasonably necessary to address a material security risk, unlawful or abusive use, harm to third parties, nonpayment under a signed agreement, or a material breach. When practical and lawful, LumiTalk will provide notice and a reasonable opportunity to cure. Termination rights for paid services are governed by the applicable agreement.
14. Disclaimers
To the maximum extent permitted by law, the public website, demonstrations, examples, and evaluation materials are provided “as is” and “as available.” LumiTalk disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement for those public materials. Signed agreements may provide different warranties and remedies for paid services.
15. Limitation of liability
To the maximum extent permitted by law, LumiTalk will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the public website or demonstrations, or for lost profits, revenue, data, goodwill, or business interruption, even if advised that such damages were possible. Liability for paid services is governed by the applicable signed agreement. Nothing in these Terms limits liability that cannot lawfully be limited.
16. Disputes and governing terms
Before starting a formal dispute concerning the website, please contact LumiTalk and provide enough detail for the parties to try to resolve it. Governing law, venue, arbitration, jury waiver, and similar dispute terms for a customer relationship must be stated in the applicable signed agreement. These website Terms do not create an arbitration or class-action waiver by silence.
17. Changes and contact
LumiTalk may update these Terms prospectively as the website, services, or law changes. The revised version will show a new effective date, and additional notice will be given where required. Continued use after an effective update constitutes acceptance only to the extent permitted by law. Questions may be submitted through the LumiTalk contact page.
If any provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without LumiTalk’s consent, except as permitted by an applicable signed agreement.
